Terms of Service

The following terms do not apply to my separate commercial-use services which operate under a contract tailored to the client.

Agreement

By commissioning Kimberlea Heili (the "artist"), you (the "client") hereby agree to the following terms which are subject to change at any time.

Scope & Services

The scope is defined as the work the artist will do for the client as agreed upon by both parties. Should the client request additional work beyond the scope, this will incur additional fees or be denied at the artist's discretion.Requesting a commission does not guarantee the artist will accept. The artist holds the right to refuse a commission for any reason.

Digital Goods

The final result of the services provided (digital artwork) will be delivered electronically. No physical goods will be delivered.

Turnaround Time

Unless a specific deadline is requested, the artist will complete the client's commission at her own pace. Please anticipate commissions being completed within the following estimated spans of time:

The artist will communicate updates regularly. Note that happenings and project specifications may delay or increase the amount of time required to be completed. (See Force Majeure section)

Options & Information

The available options and their provided information are subject to change at any time. The artist will consider accepting commissions that go outside of what it presently available. (e.g. headshot or bust instead of full body; an unlisted rendering style)

There will be rush fees involved if the client requests the work to be completed by a deadline that gives the artist less time than she comfortably needs to complete the work.

Payment of Services

A down payment of 50%* is required prior to any work being done. The client's balance must be paid in full prior to the deliverables being released.All payments are to be made via PayPal, unless otherwise discussed. The client will be sent an invoice. Only USD is accepted. There is a 3.5% processing fee associated with every payment.*50% or the down payment agreed upon by both parties if a payment plan has been established.

Discounts

Additional discounts are not offered outside of any promotions. Revisions

The artist allows complimentary minor corrections throughout the rendering process. Within reason. Moderate and major changes will always be charged $120 hourly per adjustment. The artist will always inform the client of expectations prior to making a larger change.Significant changes that are beyond the scope of the project will not be accepted after the final draft is approved. (e.g. adding a new character, changing a pose, etc.)Scope creep fees will be charged at the artist's discretion if the client requests excessive changes, minor or otherwise. The artist will not tolerate individuals who abuse the ability to request revisions, and, if deemed necessary, will cancel the client's project without refund.

Client Approval

Once the client approves the final render and the project is ended, the artist is no longer responsible for any errors. She may consider making corrections but not without proper compensation.

Copyrights & Usage

Copyrights
Any work commissioned is by default limited explicitly to personal use only by the client.Upon request, copyrights for personal work the artist created for the client in the past may be granted in exchange for a fee after a contract has been signed.Usage
The client's work is not to be used in NFT, crypto, blockchain, or AI related projects. The client may not sell the work the artist created for them as an NFT or be associated with NFT, crypto, blockchain, or AI related projects in any capacity by the client or third-parties associated with the client. Ever. Should this be breached, the artist is entitled to reparations from the client.The client MAY NOT remove the artist's signature at any time. The artist is willing to provide a copy of the artwork without her signature upon request. Just ask nicely. :)Kimberlea Heili has the right to showcase the work she created for the client on this site and social media. The client has the right to request strict confidentiality, but this must be done prior to the establishment of an agreement.

Credit

Please credit the artist where credit is due as "Kimberlea Heili” or “kimberleaheili.com.”The artist will credit the subject of the work as belonging to the client wherever she showcases the work.

Indemnity

The client shall indemnify and hold harmless Kimberlea Heili absolutely and forever from and against any and all claims, actions, damages, suits, liabilities, obligations, costs, fees, charges, and any other expenses whatsoever, including reasonable attorneys’ fees and costs, that may be asserted by a third-party against the artist in connection with the misrepresentation, negligence, or misconduct of the client and anyone in association with the client.

Force Majeure

If the artist is unable to continue progress for any reason outside of the control of either party, the artist will be free of obligation from completing the work until conditions are suitable to resume progress. Kimberlea Heili will make reasonable effort to remove or avoid these conditions in order to resume progress if possible.The term “force majeure” includes, but is not limited to:

If the artist is unable to resume work for any of the reasons listed above, she will inform the client if/when possible and refunds will be given according to the “refunds” section. If, in extreme cases, the artist is unable, in any way, to contact the client for over eight weeks due to force majeure, even after reasonable effort made, the artist will not be obligated to provide a refund if or when she returns. That said, for moral reasons, the artist may do so if/when she is able.
